1. Agreement to Terms
By accessing or using BuilderLien ("Service"), operated by Threenorth Consulting Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
These Terms constitute a legally binding agreement between you and Threenorth Consulting Inc. regarding your use of BuilderLien at builderlien.ca.
2. Important Disclaimer: This Is Not Legal Advice

BuilderLien is NOT a law firm. We do NOT provide legal advice, legal representation, or legal services.
BuilderLien is a software tool that calculates construction lien deadlines based on dates you provide. The Service:
- Does not guarantee the accuracy of any deadline calculations
- Does not account for all possible legal exceptions, holidays, or special circumstances
- Does not replace the judgment of a qualified construction lawyer
- Cannot verify whether the dates you enter are correct or complete
YOU MUST VERIFY ALL DEADLINES WITH A LICENSED ONTARIO CONSTRUCTION LAWYER BEFORE TAKING OR DECLINING TO TAKE ANY ACTION.
Construction lien rights in Ontario have strict deadlines. Missing a deadline can result in the permanent loss of your right to file a lien, potentially costing you tens of thousands of dollars or more. We provide a convenience tool to help you track dates—nothing more.
By using BuilderLien, you acknowledge and agree that:
- You are solely responsible for the accuracy of all information you enter
- You will independently verify all calculated deadlines with qualified legal counsel
- You will not rely solely on BuilderLien for any legal decisions
- Threenorth Consulting Inc. is not liable for any losses resulting from missed deadlines, incorrect calculations, or your reliance on the Service
3. Description of Service
BuilderLien is a subscription-based software service that helps Ontario construction contractors and bookkeepers:
- Track construction project information
- Calculate potential lien deadline dates based on user-provided data
- Send reminder notifications for upcoming deadlines
- Organize project and payment information
The Service calculates deadlines based on Ontario's Construction Act and the dates you provide. It does not verify your data, file liens on your behalf, or provide legal interpretation of your specific situation.
4. User Responsibilities
4.1 Data Accuracy
You are solely responsible for:
- The accuracy and completeness of all project data you enter
- Ensuring dates of substantial performance, last supply, and other key milestones are correct
- Updating information as project circumstances change
- Verifying all deadline calculations independently
BuilderLien cannot detect incorrect dates. If you enter wrong information, the calculated deadlines will be wrong.
4.2 Independent Verification
You agree to:
- Consult with a qualified Ontario construction lawyer regarding your lien rights
- Not rely solely on BuilderLien for any legal or business decisions
- Maintain your own records independent of the Service
- Take responsibility for all actions (or inactions) based on information from the Service
4.3 Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to access other users' accounts or data
- Interfere with the Service's operation or security
- Share your account credentials with others
- Resell or redistribute the Service without authorization
5. Account Terms
5.1 Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use BuilderLien. By creating an account, you represent that you meet these requirements.
5.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Notifying us immediately at hello@builderlien.ca if you suspect unauthorized access
5.3 Business Use
If you use BuilderLien on behalf of a business, you represent that you have authority to bind that business to these Terms, and the business agrees to be bound.
6. Subscription and Billing
6.1 Pricing
BuilderLien offers the following subscription plans:
- Starter: $99 CAD per month
- Pro: $199 CAD per month
- Annual: $990 CAD per year
All prices are in Canadian dollars and subject to applicable taxes.
6.2 Free Trial
New accounts receive a 14-day free trial with full access to Service features. No credit card is required to start a trial.
6.3 After Trial Expiry
When your free trial ends:
- Your account converts to read-only mode
- You can view existing data but cannot add new projects or modify information
- Reminder notifications are suspended
- To restore full functionality, you must subscribe to a paid plan
6.4 Payment Processing
Payments are processed securely through Stripe. By subscribing, you agree to Stripe's terms of service. We do not store your full credit card information.
6.5 Billing Cycle
- Monthly subscriptions are billed on the same date each month
- Annual subscriptions are billed once per year on your subscription start date
- Failed payments may result in service suspension
6.6 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation:
- You retain access until the end of your current billing period
- Your account then converts to read-only mode
- No refunds are provided for partial billing periods
6.7 Refunds
We do not provide refunds for subscription fees except as required by law. If you believe you are entitled to a refund due to a Service defect, contact us at hello@builderlien.ca within 30 days.
7. Service Availability
7.1 Uptime
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide advance notice when possible)
- Unplanned outages or technical issues
- Circumstances beyond our reasonable control
7.2 Modifications
We may modify, update, or discontinue features of the Service at any time. For material changes that negatively affect your use, we will provide reasonable notice.
8. Limitation of Liability
THIS SECTION IS CRITICAL. READ IT CAREFULLY.
8.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability or fitness for a particular purpose
- Warranties that the Service will be uninterrupted, error-free, or secure
- Warranties that deadline calculations will be accurate or legally sufficient
- Warranties that the Service will meet your specific requirements
8.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
IN NO EVENT SHALL THREENORTH CONSULTING, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Loss of lien rights or payment rights
- Costs of procuring substitute services
- Any damages arising from missed deadlines, regardless of cause
- Any damages exceeding the total fees you paid to us in the twelve (12) months preceding the claim
THIS LIMITATION APPLIES REGARDLESS OF:
- The theory of liability (contract, tort, negligence, strict liability, or otherwise)
- Whether we were advised of the possibility of such damages
- Whether the damages were foreseeable
8.3 Essential Purpose
You acknowledge that the limitations in this section are essential to our ability to offer the Service at the stated price, and that we would not enter into this agreement without them.
8.4 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Threenorth Consulting Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any claim that your use of the Service caused damage to a third party
- Inaccurate information you provided to the Service
10. Intellectual Property
10.1 Our Rights
BuilderLien, including its design, features, content, and underlying technology, is owned by Threenorth Consulting Inc. and protected by Canadian and international intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription.
10.2 Your Data
You retain ownership of the data you input into BuilderLien. By using the Service, you grant us a license to store, process, and display your data as necessary to provide the Service.
11. Termination
11.1 By You
You may terminate your account at any time by cancelling your subscription and contacting us at hello@builderlien.ca.
11.2 By Us
We may suspend or terminate your account if:
- You violate these Terms
- You fail to pay subscription fees
- We reasonably believe your use poses a security risk
- We are required to do so by law
11.3 Effect of Termination
Upon termination:
- Your right to access the Service ends immediately
- We may delete your data after a reasonable period (see Privacy Policy)
- Provisions that by their nature should survive termination will survive (including Limitation of Liability, Indemnification, and Dispute Resolution)
12. Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
12.2 Jurisdiction
Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the courts located in Ontario, Canada. You consent to the personal jurisdiction of such courts.
12.3 Informal Resolution
Before initiating formal legal proceedings, you agree to contact us at hello@builderlien.ca to attempt informal resolution. We will make good-faith efforts to resolve disputes within 30 days.
13. Changes to Terms
We may update these Terms from time to time. When we make material changes:
- We will post the updated Terms on builderlien.ca
- We will update the "Effective Date" at the top
- We may notify you by email for significant changes
Your continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you do not agree to updated Terms, you must stop using the Service.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Threenorth Consulting Inc. regarding the Service.
14.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.
14.3 Waiver
Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.
14.4 Assignment
You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.
14.5 No Agency
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Threenorth Consulting Inc..
